Terms of Service

Effective September 16, 2026

These Terms of Service govern access to https://tradebuiltsystems.io and the websites, software-enabled services, automations, communications tools, website services, and related support provided by TradeBuilt Systems LLC. By using the website, submitting a form, creating an account, signing an order form, or purchasing services, you agree to these Terms. If you act for a business, you represent that you have authority to bind that business.

1. Scope and contract documents

TradeBuilt provides managed technology and marketing-support systems for businesses, including websites, customer relationship management tools, lead-response workflows, review requests, customer reactivation, email, SMS, reporting, and related implementation and support. The specific services, fees, and deliverables for a customer may be stated in an order form, proposal, checkout page, statement of work, or other written agreement. Together, those documents and these Terms form the agreement. If they conflict, the signed order form or statement of work controls for that customer.

TradeBuilt may use GoHighLevel, LeadConnector, payment processors, hosting providers, communications carriers, analytics providers, and other third-party services to deliver the services. Their availability, rules, and technical limits may affect the services.

2. Business use and accounts

The services are intended primarily for lawful business use by adults who are at least 18 years old. Customers must provide accurate information, protect login credentials, restrict access to authorized users, and promptly notify TradeBuilt of suspected unauthorized use. Customers are responsible for activity under their accounts and for configuring their internal users appropriately.

3. Customer responsibilities

Customers must provide timely, accurate content, business information, access credentials, approvals, and instructions reasonably needed to perform the services. Customers are responsible for the legality, accuracy, ownership, and use of all materials and data they supply, including contact lists, photos, trademarks, offers, claims, reviews, and customer information.

Customers must independently review and approve websites, messages, workflows, offers, and other materials before use. TradeBuilt may assist with configuration and copy, but the customer remains responsible for its business operations, services, licenses, advertising claims, customer relationships, and compliance obligations.

4. Communications compliance

Customers may use the services only to contact people when they have a lawful basis and any consent required by applicable law. Customers are solely responsible for maintaining proof of consent; honoring opt-outs, do-not-call requests, suppression lists, and quiet hours; identifying the sender; and complying with the Telephone Consumer Protection Act, CAN-SPAM Act, state telemarketing and commercial-email laws, carrier rules, and platform policies.

Customers may not upload purchased, scraped, harvested, or unlawfully obtained contact lists; send deceptive, abusive, fraudulent, or unlawful communications; conceal sender identity; or continue messaging a person who has opted out. TradeBuilt may block, suspend, or terminate campaigns or accounts that present legal, security, carrier, reputation, or platform risk.

When TradeBuilt processes communications or contact data for a customer, the customer determines the recipients and purposes of the communications. TradeBuilt acts as a service provider or processor to the extent applicable. Use of TradeBuilt does not transfer the customer's legal obligations to TradeBuilt.

5. TradeBuilt Systems LLC marketing text messages

If you separately opt in by actively selecting the optional SMS consent checkbox on our website, you will receive recurring automated marketing and promotional text messages from TradeBuilt Systems LLC as described in Section 20. Consent is optional and is not a condition of purchase. Message frequency varies, up to 4 messages per month. Message and data rates may apply. Reply STOP to opt out or HELP for help. Carriers are not liable for delayed or undelivered messages.

6. Fees, payment, and automatic renewal

Fees are stated at checkout or in the applicable order form. By providing a payment method, the customer authorizes TradeBuilt and its payment processor to charge all amounts when due, including recurring subscription fees and applicable taxes.

MONTHLY SUBSCRIPTIONS AUTOMATICALLY RENEW FOR SUCCESSIVE ONE MONTH PERIODS AT THE THEN CURRENT PRICE UNTIL CANCELED. TO AVOID THE NEXT CHARGE, THE CUSTOMER MUST CANCEL BEFORE THE NEXT BILLING DATE BY EMAILING INFO@TRADEBUILTSYSTEMS.IO OR USING ANY CANCELLATION METHOD PROVIDED IN THE CUSTOMER ACCOUNT. CANCELLATION TAKES EFFECT AT THE END OF THE CURRENT PAID BILLING PERIOD.

Except where an order form states otherwise or law requires otherwise, paid fees are nonrefundable, partial months are not prorated, and completed implementation work is nonrefundable. TradeBuilt may change recurring fees on at least 30 days' notice, effective at the next renewal after the notice period. Failed or overdue payments may result in suspension, collection costs, or termination.

7. Changes and third-party services

TradeBuilt may modify features, workflows, integrations, or suppliers to maintain or improve the services. Third-party services are controlled by their providers and may be changed, limited, interrupted, or discontinued without TradeBuilt's control. Customers must comply with applicable third-party terms. TradeBuilt is not responsible for third-party outages, account restrictions, carrier filtering, search-engine decisions, platform enforcement, or changes to third-party products.

8. Ownership and licenses

Each party retains ownership of what it owned before the relationship. The customer owns its original content, trademarks, and customer data. The customer grants TradeBuilt a limited license to host, copy, modify, transmit, and use those materials as necessary to provide, secure, and support the services.

TradeBuilt retains ownership of its software, methods, templates, snapshots, workflows, automations, reusable code, processes, documentation, know-how, and improvements, including components used across customers. Upon full payment, the customer may use customer-specific deliverables for its own business during the service term and afterward to the extent the deliverable can operate independently of TradeBuilt or third-party subscriptions. No rights to TradeBuilt's underlying systems or reusable materials are transferred unless a signed agreement expressly says so.

TradeBuilt may use generalized knowledge and de-identified, aggregated information that does not identify the customer or any person to operate and improve its services.

9. Acceptable use

You may not misuse the services, interfere with security, attempt unauthorized access, reverse engineer protected portions of the services, transmit malware, infringe another person's rights, impersonate others, engage in unlawful discrimination, promote illegal activity, or use the services in a way that threatens TradeBuilt's systems, vendors, reputation, or other customers.

10. Confidentiality

Each party may receive nonpublic business, technical, or customer information from the other. The receiving party will use reasonable care to protect that information and use it only to perform or receive the services. This obligation does not cover information that is public without breach, independently developed, lawfully received without restriction, or required to be disclosed by law. A party required to disclose confidential information will provide notice when legally permitted.

11. No guaranteed results

TradeBuilt provides systems and services designed to help customers manage and respond to opportunities. TradeBuilt does not promise any number of leads, jobs, sales, reviews, calls, appointments, search rankings, revenue, savings, or other business result. Results depend on factors outside TradeBuilt's control, including the customer's offer, pricing, reputation, market, staffing, response time, sales process, customer consent, advertising, and third-party platforms.

12. Suspension and termination

Either party may end a month-to-month subscription by giving notice before the next billing date. TradeBuilt may immediately suspend or terminate access for nonpayment, unlawful activity, security threats, abuse, material breach, vendor or carrier requirements, or conduct that creates substantial risk. Upon termination, unpaid amounts remain due and provisions that by their nature should survive will survive, including payment, ownership, confidentiality, disclaimers, indemnity, liability limits, and dispute terms.

Customers should export needed data before termination. Subject to legal and technical limits, TradeBuilt may delete or disable customer data after termination and is not obligated to retain it indefinitely. Transfer of domains, websites, phone numbers, or other assets is subject to full payment, provider rules, and any applicable transition fees stated in an order form.

13. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED AS IS AND AS AVAILABLE. TRADEBUILT DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR FREE, SECURE, OR PRODUCE A PARTICULAR RESULT. TRADEBUILT DOES NOT PROVIDE LEGAL, TAX, ACCOUNTING, OR REGULATORY ADVICE.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADEBUILT AND ITS OWNERS, EMPLOYEES, CONTRACTORS, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES; OR THE COST OF SUBSTITUTE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TRADEBUILT'S TOTAL LIABILITY ARISING FROM OR RELATED TO THE WEBSITE, SERVICES, OR AGREEMENT WILL NOT EXCEED THE FEES THE CUSTOMER PAID TO TRADEBUILT FOR THE AFFECTED SERVICES DURING THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS APPLY REGARDLESS OF THE FORM OF ACTION AND TO THE MAXIMUM EXTENT PERMITTED BY LAW.

15. Indemnification

The customer will defend, indemnify, and hold harmless TradeBuilt and its owners, employees, contractors, and suppliers from third-party claims, losses, penalties, costs, and reasonable attorneys' fees arising from the customer's content, contact lists, products or services, instructions, communications, legal violations, infringement, misuse of the services, or breach of the agreement. TradeBuilt will provide reasonable notice and cooperation, and the customer may not settle a claim in a way that admits fault by or imposes obligations on TradeBuilt without TradeBuilt's written consent.

16. Disputes and governing law

Before filing a formal claim, a party must send written notice describing the dispute and allow 30 days for a good-faith attempt to resolve it. Notices to TradeBuilt must be sent to info@tradebuiltsystems.io.

Except for eligible small-claims matters or requests for temporary or injunctive relief involving intellectual property, security, or unauthorized access, disputes will be resolved by binding individual arbitration administered by the American Arbitration Association under its applicable commercial rules. Arbitration may occur by video or in Salt Lake County, Utah. Claims may be brought only on an individual basis, not as a plaintiff or class member in a class, consolidated, or representative action. If this arbitration provision is unenforceable for a claim, that claim must be brought exclusively in the state or federal courts located in Utah. Utah law governs without regard to conflict-of-law principles.

17. General terms

Neither party is liable for delay caused by events beyond reasonable control. The customer may not assign the agreement without TradeBuilt's written consent; TradeBuilt may assign it in connection with a reorganization, financing, merger, sale, or transfer of the business or relevant assets. If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions remain effective. Failure to enforce a provision is not a waiver. The agreement is the complete agreement concerning its subject and replaces prior discussions on that subject. Electronic notices and signatures are effective.

18. Changes to these Terms

TradeBuilt may update these Terms. The updated version will be posted with a revised effective date. Material changes affecting existing paid services will be communicated through the website, account, or email and will apply at the next renewal unless law requires otherwise. Continued use after the effective date constitutes acceptance.
